Please read these terms carefully before using Sigilhosting services.

1. Acceptance of Terms

By accessing or using any services provided by Sigilhosting Hosting and Services Ltd ("Sigilhosting," "we," "us," or "our"), including but not limited to cloud virtual private servers, dedicated servers, GPU instances, managed Kubernetes clusters, domain registration, DNS management, SSL certificates, load balancers, floating IP addresses, private networking, and any associated websites, APIs, command-line tools, SDKs, documentation, or support channels (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Acceptable Use Policy, our Privacy Policy, and our Cookie Policy, each of which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity and its affiliates to these Terms. In such cases, the terms "you" or "your" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

Your continued use of the Services following the posting of revised Terms constitutes your acceptance of and agreement to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

2. Account Registration & Security

2.1 Account Creation

To use most of the Services, you must create a Sigilhosting account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You must be at least 18 years of age or the age of majority in your jurisdiction to create an account.

2.2 Account Security

You are solely responsible for safeguarding the password and API tokens associated with your account. You agree not to disclose your password or API tokens to any third party. You must notify Sigilhosting immediately upon becoming aware of any unauthorized use of your account or any other breach of security. Sigilhosting will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

2.3 API Tokens

API tokens generated through the Sigilhosting console or API carry the same level of access as your user credentials, subject to the scope restrictions you configure. You are responsible for managing the lifecycle of your tokens, including rotation and revocation. Tokens should be stored securely and never committed to version control repositories, embedded in client-side code, or shared via unsecured channels.

2.4 Multi-Factor Authentication

Sigilhosting strongly recommends enabling multi-factor authentication (MFA) on all accounts. For team and enterprise accounts, account owners and administrators may enforce MFA requirements for all team members. Sigilhosting reserves the right to require MFA for accounts meeting certain criteria, including but not limited to accounts with high resource usage or billing thresholds.

3. Service Description

3.1 Cloud VPS

Sigilhosting provides virtual private server instances ("Cloud VPS") running on shared hardware infrastructure with dedicated vCPU, memory, and NVMe storage allocations. Cloud VPS instances are billed on an hourly basis from the time of creation until deletion, with charges rounded up to the nearest hour. Monthly billing caps apply as specified in the pricing documentation.

3.2 Dedicated Servers

Dedicated server offerings provide single-tenant bare metal hardware. Provisioning times vary by configuration and availability. Dedicated servers are billed on a monthly basis beginning from the time the server becomes available. You acknowledge that dedicated server hardware is shared physical infrastructure that is exclusively allocated to your account during your subscription period.

3.3 GPU Instances

GPU compute instances provide access to NVIDIA accelerator hardware for machine learning, rendering, and compute workloads. GPU instances are billed hourly and are subject to availability constraints. Sigilhosting does not guarantee availability of specific GPU models in all regions at all times.

3.4 Managed Kubernetes

Sigilhosting Managed Kubernetes provides a managed control plane at no additional cost. You are responsible for the configuration, deployment, and management of workloads running on your cluster. Worker nodes are billed at standard Cloud VPS rates. Sigilhosting manages control plane availability, upgrades, and security patches, but does not manage application-level concerns including but not limited to pod scheduling, resource requests, network policies, or persistent volume claims.

3.5 Domain Registration & DNS

Domain registration services are provided through accredited registrar partnerships. Domain registration fees are non-refundable once the registration or renewal has been processed. You agree to comply with all applicable ICANN policies and registry requirements for any domains registered through Sigilhosting. DNS hosting services are provided at no additional charge and include Anycast DNS propagation across our global network of nameservers.

3.6 Networking Services

Networking services including private networks (VPCs), floating IP addresses, firewalls, and load balancers are subject to regional availability. Internal network traffic between resources within the same VPC and region is not metered. Cross-region VPC peering traffic is metered at published rates. Floating IP addresses incur a monthly charge when not assigned to an active resource.

3.7 SSL Certificates

Automated SSL certificates are provisioned through Let's Encrypt and are subject to Let's Encrypt's own terms of service, rate limits, and certificate policies. Sigilhosting facilitates the issuance and renewal of certificates but does not guarantee issuance in all cases. Custom certificate uploads are subject to validation of certificate chain integrity.

4. Acceptable Use Policy

4.1 Prohibited Activities

You agree not to use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation. Without limiting the foregoing, you agree not to use the Services to:

  • Distribute malware, viruses, ransomware, trojans, worms, or any other malicious software or code
  • Conduct or facilitate phishing attacks, social engineering, or identity theft
  • Send unsolicited bulk email (spam) or engage in any form of network abuse
  • Host, distribute, or link to content that infringes on intellectual property rights of any third party
  • Engage in cryptocurrency mining unless explicitly authorized under a GPU or dedicated server plan that permits such use
  • Conduct network scanning, port scanning, or vulnerability testing against systems you do not own or have explicit authorization to test
  • Launch or facilitate denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against any target
  • Host or distribute content depicting the sexual exploitation of minors (CSAM)
  • Operate open mail relays, open DNS resolvers, or other misconfigured services that may be exploited for amplification attacks
  • Circumvent or attempt to circumvent any rate limiting, resource quotas, or access controls implemented by Sigilhosting
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein
  • Attempt to gain unauthorized access to the Services or their related systems or networks

4.2 Resource Limits

Sigilhosting enforces fair-use resource quotas to ensure equitable access for all customers. Default quotas are published in the documentation and may be increased upon request and approval. Excessive consumption of shared resources, including but not limited to sustained 100% CPU usage on shared VPS plans, excessive disk I/O, or network bandwidth abuse, may result in throttling, migration, or termination of the affected resource at Sigilhosting's discretion.

4.3 Enforcement

Sigilhosting reserves the right to investigate and take appropriate action against anyone who, in Sigilhosting's sole discretion, violates this Acceptable Use Policy, including but not limited to removing content, suspending or terminating accounts, reporting violations to law enforcement authorities, and cooperating with law enforcement investigations.

4.4 Abuse Reporting

If you become aware of any violation of this Acceptable Use Policy, you may report it to abuse@sigilhosting.com. Sigilhosting will investigate all credible reports and take appropriate action in accordance with these Terms and applicable law.

5. Payment & Billing

5.1 Billing Model

The Services are billed on a usage-based model. Cloud VPS, GPU instances, and load balancers are billed hourly. Dedicated servers, domain registrations, and SSL certificates are billed monthly or annually as specified at the time of purchase. All prices are displayed in United States dollars unless otherwise specified. Prices are exclusive of applicable taxes, which will be added to your invoice based on your billing address and applicable tax jurisdiction.

5.2 Payment Methods

Sigilhosting accepts payment via major credit cards (Visa, Mastercard, American Express, Discover), ACH bank transfers (for US accounts), wire transfers (for invoices exceeding $1,000), and prepaid account credit. You authorize Sigilhosting to charge your selected payment method for all fees incurred through the Services.

5.3 Invoicing

Monthly invoices are generated on the first calendar day of each month for the preceding month's usage. Invoices are payable within 15 days of issuance. Prepaid account credit is applied to invoices before charging the payment method on file. Invoices are available for download through the console and via the API.

5.4 Late Payments

Accounts with overdue invoices exceeding 15 days may be subject to service suspension. Sigilhosting will provide at least 72 hours' notice before suspending services for non-payment. Accounts suspended for non-payment for more than 30 days may have their resources permanently deleted. Sigilhosting reserves the right to charge late fees of 1.5% per month on overdue balances, or the maximum rate permitted by applicable law, whichever is lower.

5.5 Refund Policy

Sigilhosting does not generally provide refunds for services rendered. Domain registration fees are non-refundable. In the event of a verified billing error, Sigilhosting will issue a credit to your account. Prepaid account credit is non-refundable and non-transferable. If you believe you have been incorrectly billed, you must contact billing@sigilhosting.com within 60 days of the charge.

5.6 Free Trial

New accounts may be eligible for a promotional credit as specified during registration. Promotional credits expire 60 days after issuance and are non-transferable. Sigilhosting reserves the right to modify or discontinue promotional offers at any time. Abuse of promotional credits, including but not limited to creating multiple accounts to obtain additional credits, will result in account termination.

6. Service Level Agreement

Sigilhosting provides a Service Level Agreement guaranteeing 99.99% uptime for Cloud VPS and managed Kubernetes control planes, and 99.95% uptime for dedicated servers. The full SLA, including definitions of downtime, exclusions, and credit calculation methodology, is available at sigilhosting.com/sla and is incorporated into these Terms by reference.

Service credits are the sole and exclusive remedy for any failure by Sigilhosting to meet the guaranteed uptime levels. Service credits do not entitle you to any refund or other payment. Service credits may not be transferred or applied to any other account. You must request service credits within 30 days of the qualifying downtime event.

7. Data & Privacy

7.1 Your Data

You retain all rights, title, and interest in and to any data, content, code, or materials that you upload, store, transmit, or otherwise make available through the Services ("Your Data"). Sigilhosting does not claim ownership of Your Data. You grant Sigilhosting a limited, non-exclusive license to access, use, and process Your Data solely as necessary to provide and maintain the Services, including creating backups, replicating data for redundancy, and performing necessary system administration tasks.

7.2 Data Protection

Sigilhosting implements industry-standard technical and organizational measures to protect Your Data, including but not limited to encryption at rest (AES-256) and in transit (TLS 1.3), network isolation between customer resources, regular security audits, and access controls limiting employee access to customer data. However, no method of electronic transmission or storage is 100% secure, and Sigilhosting cannot guarantee absolute security.

7.3 Data Location

Your Data is stored in the region(s) you select when deploying resources. Sigilhosting does not transfer Your Data between regions except as you explicitly direct (such as cross-region backup configurations or VPC peering). Metadata related to your account, billing, and service configuration may be processed in the United States regardless of the region in which your resources are deployed.

7.4 Data Deletion

Upon deletion of a resource, Sigilhosting will permanently destroy the associated data within 72 hours. Backup copies will be destroyed within 30 days following the retention period. Upon account termination, all data will be permanently destroyed within 30 days unless a longer retention period is required by applicable law or a valid legal process.

7.5 Privacy Policy

The collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

8. Intellectual Property

8.1 Sigilhosting IP

The Services, including but not limited to all software, APIs, documentation, designs, logos, trademarks, service marks, and other intellectual property used in connection with the Services, are and shall remain the exclusive property of Sigilhosting or its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms.

8.2 Feedback

If you provide Sigilhosting with any feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you grant Sigilhosting a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without obligation or compensation to you.

8.3 Open Source

Certain components of the Services may incorporate or be based on open-source software. Use of such open-source software is subject to the applicable open-source license terms, which may be found in the corresponding repository or documentation. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.

9. Third-Party Services

The Services may contain integrations with or links to third-party services, including but not limited to Let's Encrypt (SSL certificates), domain registries, container registries, monitoring services, and payment processors. Your use of any third-party service is governed by that third party's terms of service and privacy policy. Sigilhosting does not endorse, warrant, or assume any responsibility for any third-party services. Any dealings between you and a third party are solely between you and such third party.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SIGILHOSTING SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. SIGILHOSTING DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGILHOSTING, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SIGILHOSTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Cap on Liability

SIGILHOSTING'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SIGILHOSTING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sigilhosting, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Services; (b) Your Data or any content you transmit through the Services; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; or (e) any dispute between you and any third party related to the Services.

12. Termination

12.1 Termination by You

You may terminate your account at any time through the console or by contacting support@sigilhosting.com. Upon termination, you remain responsible for all charges incurred prior to the effective date of termination. Resources that are not explicitly deleted prior to account termination will continue to accrue charges until the termination is processed.

12.2 Termination by Sigilhosting

Sigilhosting may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms; (b) violation of the Acceptable Use Policy; (c) non-payment of fees; (d) fraudulent, abusive, or unlawful activity; (e) extended account inactivity exceeding 12 months with no deployed resources; or (f) upon request of law enforcement or government agencies.

12.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sigilhosting will retain Your Data for 30 days following termination to allow you to retrieve it, after which it will be permanently destroyed. Sections that by their nature should survive termination shall survive, including but not limited to Sections 5 (Payment), 7 (Data), 8 (IP), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 15 (General Provisions).

13. Dispute Resolution

13.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law principles.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Michigan City, Indiana. The language of the arbitration shall be English. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

YOU AND SIGILHOSTING AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. Modifications to Terms

Sigilhosting reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, for significant changes, by sending an email to the address associated with your account. Changes become effective upon posting unless a later effective date is specified. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services and terminate your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Service Level Agreement, constitute the entire agreement between you and Sigilhosting with respect to the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Sigilhosting.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.3 Waiver

The failure of Sigilhosting to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Sigilhosting.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Sigilhosting. Sigilhosting may assign these Terms without restriction. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

15.5 Force Majeure

Sigilhosting shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond Sigilhosting's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet outages, telecommunications failures, or third-party service provider failures.

15.6 Notices

All notices from Sigilhosting to you will be sent to the email address associated with your account or posted on the Sigilhosting website. Notices to Sigilhosting should be sent to legal@sigilhosting.com or by mail to Sigilhosting Hosting and Services Ltd, 1 York Rd, Chapelhall, Airdrie ML6 8HW, United Kingdom. Notices are deemed given when sent by email (upon transmission) or when posted on the website (upon posting).

15.7 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the US Export Administration Regulations, US International Traffic in Arms Regulations, and economic sanctions programs administered by the US Treasury Department's Office of Foreign Assets Control. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

15.8 Government Use

If you are a US government entity or the Services are being used on behalf of a US government entity, the Services are provided as "commercial items" as defined at 48 C.F.R. ยง2.101, and the government's rights with respect to the Services are limited to those specifically granted in these Terms.
